Terms and Conditions

These Terms and Conditions (the "Terms") govern your use of every Shopify app published by Marka Modern Retail Private Limited, trading as House of Marka ("Marka", "we", "us"), registered office at Basement, Plot No. 39, Sector 27, Gurugram, Haryana 122001, India. The apps are:

• Marka Reviews, listed on the Shopify App Store as ReviewMaster
• Marka Bundles & Upsells
• Marka Cart Drawer
• Marka Metrics

each an "App". By installing an App on a Shopify store you agree to these Terms on behalf of that store's business ("you"). If you install for a company, you confirm that you may bind it. If you do not agree, do not install the App, or uninstall it.

The Privacy Policy, the Data Processing Addendum and the Billing, Trials and Refunds policy form part of these Terms. Our website, houseofmarka.com, has its own terms of service. Work we build for a client under a signed services agreement is governed by that agreement, not by these Terms.

1. The Apps

Each App is a tool you install from the Shopify App Store and operate from your Shopify admin:

• Marka Reviews collects product reviews and questions from your customers and shows them on your store.
• Marka Bundles & Upsells builds bundle, quantity-break and upsell offers, shows them on your store and prices them at checkout through Shopify discounts.
• Marka Cart Drawer replaces your theme's cart with a slide-out drawer that carries offers, rewards and add-ons, priced at checkout through Shopify discounts.
• Marka Metrics reports on your store's sales, customers, profit, taxes and storefront visits.

What each App reads, stores and shares is set out, App by App, in the Privacy Policy.

2. Your Shopify account

The Apps work only with an active Shopify store, and your use of Shopify is governed by Shopify's own terms. Shopify is not a party to these Terms. If your Shopify account is suspended or closed, the Apps stop working. We are not responsible for Shopify's availability, prices, policies or decisions, including its review of our App Store listings.

You are responsible for the people you give access to your Shopify admin. Anyone with access to the App in your admin can change its settings and content.

3. Plans, trials and billing

Each App has a Free plan and paid plans. Paid plans are charged through Shopify and appear on your Shopify bill; we never see or store your card details. The plans, prices, free trials and the rules for upgrades, downgrades, cancellation and refunds are in Billing, Trials and Refunds, and current prices are on each App's page and App Store listing.

4. Your responsibilities

You decide what each App does on your store, so you are responsible for how you use it. In particular:

• Offers and prices (Bundles & Upsells, Cart Drawer). You are responsible for the offers you publish: that savings, reference prices, timers and stock messages are true, and that your pricing complies with the consumer-protection and advertising rules of every market you sell into.
• Review requests and incentives (Reviews). You are responsible for having a lawful basis to send review-request emails to your customers, for honouring the unsubscribe links the App adds, and for disclosing any incentive you offer for a review. The App adds an incentive disclosure, but the incentive and its terms are yours.
• Reviews you publish. You decide which reviews and answers appear on your store. You must not publish reviews you know to be fake or misleading, or hide reviews in a way that misleads shoppers where the law forbids it.
• Reports (Metrics). Forecasts, predicted lifetime value and other estimates are labelled as estimates and are not guarantees. Sales tax and VAT reports help you keep tax in view; they are not tax advice, they do not work out what you owe, and they file nothing. Payout and dispute reports are read-only: the App never moves money or answers a dispute.
• Your privacy notice. Where an App processes your customers' personal data, you are the controller of that data. Your store's privacy notice must tell your customers about the processing, and where the law requires consent (for example to storefront analytics), you must collect it through Shopify's customer privacy settings.

5. Acceptable use

You must not:

• use an App to show prices, savings, reviews or claims you know to be false;
• try to get around plan limits, tamper with billing, or reach another merchant's data;
• probe, scan, load-test or disrupt our infrastructure without our written permission (see section 14 for reporting vulnerabilities);
• copy, resell, sublicense or reverse-engineer an App, except where the law allows it despite this restriction;
• use an App for anything unlawful where you or your customers are.

We may suspend an installation that is harming our infrastructure, other merchants or shoppers, or that breaks this section. Where we can, we will contact you first.

6. Your data and our use of it

Your store data, your content (offers, reviews, settings, reports) and your customers' data remain yours. When an App processes personal data for your store, we do so as your processor, only on your instructions and under the Data Processing Addendum.

We do not sell your data or your customers' data. We do not use it to train AI models or to build datasets for anyone else. We may use aggregated figures that identify neither you nor any person (for example how many stores use a feature) to run and improve the Apps.

You can export your data and ask us to delete it as described in Data Requests and Deletion. When you uninstall an App, its data is deleted on the schedule set out there.

7. Availability and support

We aim to keep the Apps available at all times but do not promise uninterrupted service, and no plan includes a contractual uptime guarantee unless we agree one in writing. The Apps depend on Shopify and on our hosting provider, and outages in either can affect them.

The storefront parts of the Apps are built to fail safe: if an App cannot be reached, its blocks and drawer do not appear and your store keeps working, and Shopify still prices checkout from the discounts in your store.

Support is by email at support@houseofmarka.com and through each App's support page. We aim to reply within one business day.

8. Changes to the Apps

We improve the Apps continuously and may add, change or remove features. If we remove a feature that a paid plan you are on depends on, we will tell you in advance and you may change plan or uninstall.

9. Third-party services

Some features connect to services you choose to use, such as Etsy or AliExpress imports and the Google Merchant Center ratings feed in Marka Reviews, or a webhook address you enter for scheduled reports in Marka Metrics. Those services are governed by their own terms, and we are not responsible for them.

10. Intellectual property

The Apps, their interfaces, code and documentation belong to us or our licensors. While your installation is active, we grant you a non-exclusive, non-transferable right to use each App you install on the stores you control. If you send us suggestions, we may use them without any obligation to you.

11. Warranties

The Apps are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all implied warranties, including of merchantability, fitness for a particular purpose and non-infringement. We do not promise that an App will increase your sales or order value.

12. Liability

To the fullest extent the law allows:

• we are not liable for indirect, incidental, special or consequential loss, or for loss of profits, sales, revenue, goodwill or data;
• our total liability for all claims arising out of or relating to the Apps is limited to the greater of (a) the amount you paid us for the App concerned in the twelve months before the event that gave rise to the claim and (b) USD 100.

Nothing in these Terms limits liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by negligence, or the rights a consumer has under mandatory law.

13. Indemnity

You will compensate us for claims by third parties arising from the offers, prices, reviews, emails and other content you publish or send with an App, or from your breach of section 4 or 5, except to the extent the claim is caused by our breach of these Terms.

14. Security reports

If you find a vulnerability in an App, email support@houseofmarka.com with the subject line SECURITY. We acknowledge reports within one business day. Please give us reasonable time to fix the issue before disclosing it. We will not pursue good-faith research that does not access other merchants' data, degrade the service or keep data. 15. Suspension and termination

You may stop using an App at any time by uninstalling it from your Shopify admin; that ends these Terms for that App. We may suspend or end your use of an App for a material breach of these Terms, or where Shopify or the law requires it. If we end your use without cause, we will refund the unused part of any period you have paid for, as set out in Billing, Trials and Refunds.

Sections 6, 10, 11, 12, 13 and 17 survive the end of these Terms.

16. Changes to these Terms

We may update these Terms. We will announce material changes in the App or by email to your store's contact address at least 14 days before they take effect, and update the effective date at the top of this page. If you keep using the App after that date, the new Terms apply. If you do not accept them, you may move to the Free plan or uninstall.

17. Governing law

These Terms, and any dispute arising out of or in connection with them, are governed by the laws of India, and the courts at Gurugram, Haryana have exclusive jurisdiction. This does not take away any mandatory protection you have under the law of the country where you are based.
